Respark OS1. Parties and acceptance
These terms are between you and RESPARK DIGITAL SOLUTIONS W.L.L (ريسبارك للحلول الرقمية ذ.م.م), Commercial Registration No. 157120, Kingdom of Bahrain. In the Kingdom of Saudi Arabia, services are provided through our service provider and agent, Super Metal Trading Company, Commercial Registration No. 4030614305, located at 29 Apex Workspace, Sultan Ibn Salman Street, Al Nuzhah, Jeddah, Kingdom of Saudi Arabia. By using our website or services you agree to these terms. If you have a signed agreement or quotation with us, its terms prevail where they conflict.
2. Services
We provide digital services to businesses, including strategy, design, website and systems development, automation, marketing and the Respark Echo platform. The scope, duration and fees of each service are set out in its quotation or agreement.
3. Respark Echo
- The platform lets a client business connect its WhatsApp Business account or Instagram professional account to archive and analyse its conversations with its customers.
- The business confirms that it owns, or is authorised to manage, the accounts it connects.
- The business must comply with the WhatsApp Business Messaging Policy, the Commerce Policy and Meta's and Instagram's terms, obtain its customers' consent where required, and inform them that their conversations are processed.
- Any conversation fees Meta charges the business are the business's responsibility unless agreed otherwise.
- We do not send messages on the business's behalf except on its instructions.
- The business authorises Respark to honour deletion requests from its customers received under our Data Deletion page, and Respark will notify the business of them.
- The business can disconnect its accounts from the platform at any time.
4. Acceptable use
You may not use our services to send spam or unsolicited messages, distribute unlawful content, infringe the rights of others or platform policies, or attempt unauthorised access to our systems. We may suspend the service where this happens.
5. Data and privacy
We process personal data in line with our Privacy Policy. For Respark Echo, we process the business's customer data on its behalf and on its instructions, and the business remains the owner of its data.
6. Intellectual property
Our systems, tools, software and website content remain the property of Respark. Ownership of deliverables is set out in each client's agreement.
7. Third-party platforms
Some services rely on external platforms such as Meta, Zid, Supabase and Vercel. We do not control their availability or policy changes and are not responsible for their outages or for restrictions they place on an account.
8. Disclaimer and limitation of liability
We provide the services with reasonable professional care. To the extent permitted by law, we are not liable for indirect or consequential loss or loss of profit, and our total liability for any claim will not exceed the fees the client paid for the relevant service in the twelve months before the claim.
9. Termination
Either party may end a service in line with its agreement. When a Respark Echo service ends, we delete the business's data or return it within 30 days, as the business instructs.
10. Governing law
These terms are governed by the laws of the Kingdom of Bahrain, and its courts have jurisdiction over any dispute arising from them.
11. Changes
We may update these terms; an update takes effect from the date it is published on this page.
